General meetings

The Association holds an annual general meeting within nine months of the end of each accounting reference period, at a time and place prescribed by the Board. Meetings may be held in Hong Kong or elsewhere, and may be held in person or remotely, provided that any remote meeting is hosted from Hong Kong.

• Notice. An annual general meeting requires at least 21 days' written notice; other general meetings and special resolutions require at least 14 days.
• Quorum. Five Members (at least one being a Full or Associate Member), or 10 percent of the total voting rights of all Full and Associate Members, whichever is lower.
• Business. The AGM considers and adopts the audited financial statements and the reports of the Board and Auditors, elects Directors, and fixes the remuneration of the Auditors.
• Voting. Resolutions are decided on a show of hands unless a poll is demanded. Full Members have two votes; Associate Members have one. Voting rights require subscriptions to be paid in full.
• Proxies. A proxy notice must be received at least 48 hours before the meeting.

Directors

• The Board consists of not fewer than two and not more than five Directors.
• All Directors must be in Asia and nominated by a Full Member.
• Nominations must be deposited at the registered office not less than 21 and not more than 60 days before the AGM, unless the Board sets a shorter period.
• Each candidate may submit an election address of not more than 250 words.
• At least one third of the Board retires at every AGM; no Director may serve more than twelve consecutive years.
• Directors are reimbursed actual expenses incurred on Association business, where pre-approved by the Board.
